All orders are subject to acceptance by Apotheca, Inc. Submission of an order request via our online Portal or corporate order desk does not establish a binding contract. Apotheca reserves the right to reject, modify, delay, allocate, limit, or cancel any order request at its sole discretion.
All prices listed in our catalog, Portal, or price sheets are subject to change without notice. Invoiced pricing is calculated at the time of order placement. Pricing errors, typographical errors, and system errors in our database may be corrected at any time, even after order submission.
Inventory availability is not guaranteed. Products may become unavailable without warning due to manufacturer shortages, logistics backlogs, supply allocations, recalls, regulatory restrictions, discontinuations, or other operational limitations. Apotheca is not liable for customer operational delays caused by product shortages.
Apotheca reserves the right to hold, reject, delay, or cancel any order when necessary to satisfy licensing requirements, Drug Supply Chain Security Act (DSCSA) verification, DEA requirements, suspicious order monitoring programs, manufacturer restrictions, or internal regulatory compliance investigations.
All shipments are sold Free on Board (FOB) Shipping Point. Title to products and risk of loss pass to the customer immediately upon delivery of products to the common carrier at our warehouse. Shipments are subject to the commercial terms set forth in the Shipping & Order Fulfillment Policy.
Customers must inspect all shipments immediately upon delivery. Claims regarding shortages, shipment damage, or packaging discrepancies must be reported in writing within 48 hours of carrier receipt. Delayed claims will not be honored.
All product returns require prior authorization and are governed strictly by the Apotheca Return Goods Policy.
Customers agree to cooperate fully with any manufacturer, FDA, state board, or Apotheca-directed recall, product withdrawal, market correction, or administrative field safety action. Customers must segregate and return affected merchandise immediately upon notification.
Except as expressly required by law, all products distributed by Apotheca are provided "as-is" without warranty of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
Apotheca's maximum liability under any circumstances (including breach of contract, negligence, or product liability) shall not exceed the actual invoice price paid by the customer for the specific products giving rise to the claim. In no event shall Apotheca be liable for indirect, incidental, consequential, special, or punitive damages.
Apotheca shall not be liable for product delays, delivery failures, or inability to perform resulting from circumstances beyond its reasonable control, including but not limited to acts of God, carrier strikes, manufacturer shortages, government actions, pandemics, or infrastructure breakdowns.
In any legal action or administrative proceeding brought to collect unpaid balances or enforce the terms of this agreement, Apotheca shall be entitled to recover reasonable attorney fees, court costs, agency collection fees, and related collection expenses from the customer.
Arizona state law shall govern all sales transactions and disputes. Jurisdiction and venue shall exclusively lie in state or federal courts located in Maricopa County, Arizona. Customers consent to the personal jurisdiction of such courts.
